1. Overview
Coodra provides AI-powered wholesale planning, recommendation, and workflow tools for retail buyers and distributors (the “Service”). By using the Service, you agree to these Terms of Service (the “Terms”).
2. Eligibility and accounts
You must provide accurate account information and keep credentials secure. You are responsible for activity that occurs under your account.
- Only authorized users may access company workspaces and data.
- Role-based permissions may restrict access and approvals.
- You agree not to share credentials or bypass access controls.
3. Service and scope
Coodra is a buying intelligence layer. Unless explicitly agreed in writing, Coodra does not operate as a marketplace, does not take title to inventory, and does not act as a distributor or seller of goods.
- Coodra may generate cart-ready plans and suggested allocations.
- Final purchasing decisions and approvals remain with you.
- Order placement and fulfillment are handled through your existing purchasing workflow and counterparties.
4. AI recommendations and assumptions
The Service generates recommendations based on inputs you provide and data available through integrations. Recommendations may reflect assumptions where data is missing, delayed, or inconsistent.
- You are responsible for reviewing assumptions, risk signals, and outputs.
- Coodra does not guarantee outcomes (sales, margins, turns, or stock levels).
- Outputs may be affected by data freshness and operational constraints.
5. Integrations
If you connect third-party systems (POS, inventory, distributor portals, spreadsheets, or other tools), you authorize Coodra to access and process the connected data to provide the Service.
Third-party services are governed by their own terms. Coodra is not responsible for third-party availability, errors, or changes.
6. Data and confidentiality
You retain ownership of your business data. Coodra processes that data to deliver the Service and improve performance.
- You are responsible for ensuring you have rights to share uploaded or integrated data.
- We apply access controls aligned to roles and workspaces.
- Confidential information should not be disclosed to unauthorized users.
7. Intellectual property
Coodra and its licensors own all rights in the Service, including software, interfaces, and models. You receive a limited right to use the Service during your subscription or access period.
8. Disclaimers and limitation of liability
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Coodra disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Coodra will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost revenue, arising from your use of the Service.
9. Suspension and termination
We may suspend or terminate access if we believe the Service is being used unlawfully, insecurely, or in violation of these Terms. You may stop using the Service at any time.
10. Changes to Terms
We may update these Terms periodically. Continued use after changes become effective constitutes acceptance of the updated Terms.
