Terms And Conditions

1. Eligibility And Authority

• You must be at least the age of majority where you live and able to enter into a binding agreement.
• If you use Coodra for a business, you represent that you are authorized to bind that business to these Terms.
• You are responsible for making sure your users, employees, contractors, and administrators comply with these Terms.

2. Accounts And Security

• You are responsible for the accuracy of account information and for activity under your account.
• You must protect access to your account, devices, email, third-party accounts, API keys, and integration credentials.
• You must notify us promptly if you suspect unauthorized access or misuse.
• We may require identity, email, multi-factor, or other verification before allowing access to sensitive features.

3. Early Access And Service Changes

Coodra may be offered through early access, guided onboarding, beta, preview, or limited-availability programs. Features, recommendations, integrations, pricing, plan limits, and availability may change over time. We may accept, decline, pause, or end early-access participation at our discretion.

4. Service Scope

Coodra connects authorized retail systems and surfaces review-first recommendations, alerts, summaries, and operating insights based on available data. Coodra is not an ERP, accounting firm, financial advisor, legal advisor, tax advisor, procurement agent, or automatic purchasing system.

5. Connected Systems And Third-Party Accounts

• You represent that you have the right to connect each POS, ecommerce, inventory, accounting, supplier, or other third-party system you authorize.
• You are responsible for complying with the terms, privacy policies, and permissions of each third-party platform.
• You authorize Coodra to access, process, and use connected data as needed to provide the service.
• Third-party platforms may change or limit their APIs, data availability, permissions, or pricing. Coodra is not responsible for third-party service failures or changes.

6. Customer Data

As between you and Coodra, you retain ownership of the business data you provide or connect to Coodra. You grant Coodra a limited license to host, process, transmit, analyze, display, and use that data to provide, secure, support, and improve the service.

7. Recommendations And Data Quality

Coodra recommendations depend on the quality, completeness, accuracy, and timeliness of connected data. Recommendations may be incomplete, delayed, inaccurate, or unsuitable for your specific business. You are responsible for reviewing recommendations, expected outcomes, and business context before taking action.

8. Acceptable Use

You agree not to:

• Use Coodra for unlawful, fraudulent, deceptive, harmful, or abusive purposes.
• Upload or connect data you do not have the right to use.
• Attempt unauthorized access to accounts, systems, data, APIs, credentials, or infrastructure.
• Interfere with security, integrity, rate limits, availability, or performance.
• Reverse engineer, scrape, copy, resell, or create competing services from Coodra except as allowed by law.
• Use Coodra to make fully automated decisions about individuals where applicable law requires human review or additional safeguards.

9. Fees And Billing

Public pricing, early-access pricing, plan limits, and billing terms may be shown on the website, in the product, or in a separate order form. Unless a separate written agreement says otherwise, fees are non-refundable except where required by law.

10. Intellectual Property

• Coodra and its software, interfaces, workflows, models, designs, documentation, brand, and content are owned by Coodra or its licensors.
• Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Coodra for your internal business operations.
• You may provide feedback, ideas, or suggestions. We may use them without restriction or compensation.

11. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using Coodra, you acknowledge that information will be handled as described in that policy.

12. Suspension And Termination

We may suspend or terminate access if we believe there is a security risk, legal risk, non-payment, misuse, account compromise, violation of these Terms, or harm to Coodra, users, third-party platforms, or the service. You may stop using Coodra at any time.

13. Disclaimers

Coodra is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, data accuracy, recommendation accuracy, revenue improvement, margin improvement, stock availability, or business outcomes.

14. Limitation Of Liability

To the maximum extent permitted by law, Coodra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, inventory, business opportunity, or business interruption. Unless a separate written agreement says otherwise, our aggregate liability is limited to the amounts paid to Coodra for the service in the twelve (12) months before the claim.

15. Indemnity

You agree to defend, indemnify, and hold Coodra harmless from claims, damages, losses, liabilities, costs, and expenses arising from your data, connected systems, misuse of the service, violation of these Terms, violation of law, or violation of third-party rights.

16. Governing Law

These Terms are governed by the laws of Ontario, Canada and applicable federal laws of Canada, without regard to conflict-of-law principles, subject to mandatory consumer protection laws that may apply.

17. Changes To Terms

We may update these Terms from time to time. Material updates will be posted on this page with a revised "Last updated" date. Continued use of Coodra after an update means you accept the revised Terms.
